Arion End User License Agreement
The short version: Buying an Arion license lets you install and use Arion on machines you control, for the major version your license covers (e.g. a 1.x license covers every 1.x release). The software is provided as-is. You may request a refund within 14 days; see our Refund Policy. Don't redistribute or reverse-engineer the software (with one carve-out for LGPL components, described below).
1. Parties and acceptance
This End User License Agreement (“EULA”) is a binding agreement between you (“Licensee” or “you”) and Chordalia Systems LLC (“Chordalia Systems”, “Chordalia”, “we”, or “us”) governing your installation and use of the Arion software (“Software”).
You accept this EULA by installing or using the Software. If you do not agree to these terms, do not install or use the Software, and request a refund within the 14-day refund window described in our Refund Policy.
2. License grant
2.1 Personal Edition (free)
We grant you a worldwide, non-exclusive, non-transferable license to install and use Arion Personal Edition on any number of machines you personally own or control, free of charge, for as long as you wish. Personal Edition is subject to the documented feature limits (5,000 indexed documents, single scan root, Tier 1 keyword search) enforced by the Software.
2.2 Family Edition (paid, per major version)
Upon payment of the applicable Family Edition license fee, we grant you a worldwide, non-exclusive, non-transferable license to install and use Arion Family Edition for personal household use, on any reasonable number of machines under your direct control, for the major version of Arion specified in your license file. A Family Edition license for Arion 1.x covers every 1.x point release (1.0.0, 1.0.1, 1.1, 1.2, etc.) but does not cover Arion 2.0 or later. Existing Family Edition customers are eligible for a discounted upgrade when a new major version ships.
“Personal household use” means use by you and members of your household for personal, non-commercial purposes. Commercial use, multi-organization use, or use on shared infrastructure serving non-household users requires an Archive Edition license.
2.3 Archive Edition (paid, per organization)
Upon payment of the applicable Archive Edition license fee, we grant the named organization specified in your license file a worldwide, non-exclusive, non-transferable license to install and use Arion Archive Edition for the duration specified in the license (annual subscription or perpetual major-version license). Archive Edition supports the named-user count specified in the licensed tier; use beyond that user count requires upgrading the license.
3. Restrictions
You agree NOT to:
- Distribute, sublicense, lease, rent, or sell the Software or any part of it to third parties.
- Modify, decompile, disassemble, or reverse-engineer the Software, except to the limited extent permitted by applicable law that cannot be excluded by contract, AND as expressly permitted by Section 6 (LGPL components) below.
- Remove, alter, or obscure copyright, trademark, or proprietary-rights notices in or on the Software.
- Share, transfer, or otherwise provide your license file or license credentials to anyone outside the licensed scope (your household for Family Edition; the named organization for Archive Edition).
- Use the Software in violation of applicable law, or to process content that you do not have the lawful right to process. See our Acceptable Use Policy for the specific kinds of content and operating practices that are and aren't permitted.
4. Updates and major versions
A Family or Archive Edition license entitles you to all point and minor releases within the major version specified in your license (e.g. a 1.x license covers 1.0.0 through 1.999.x). When a new major version of Arion ships (e.g. 2.0), it is governed by a new license. Existing licensees in good standing are eligible for an upgrade to the new major version at the discounted upgrade price published on the Arion product page at the time the new major version ships.
We may release updates to the Software at our discretion. We make reasonable efforts to maintain backward compatibility within a major version, but reserve the right to change features, behavior, or system requirements between point releases.
5. Ownership
The Software is licensed, not sold. Chordalia and its licensors retain all right, title, and interest in and to the Software, including all intellectual property rights. Nothing in this EULA transfers ownership of the Software to you.
6. Open-source components and LGPL source availability
Arion incorporates open-source components, each governed by its
own license. A complete list of these components and their
licenses is included with the Software in
THIRD_PARTY_LICENSES.txt.
Some components are licensed under the GNU Lesser General Public License (“LGPL”), notably the Qt libraries (PySide6), libheif, and FFmpeg. As required by the LGPL:
- You may modify and replace the LGPL components within your
installation of Arion, for your own use. The LGPL components
live in user-writable directories
(
_internal\for the main install,%LOCALAPPDATA%\Chordalia\addons\for side-loaded add-ons) so this is technically possible. - The corresponding source code for any unmodified LGPL
component used by the Software is available from the upstream
project listed in
THIRD_PARTY_LICENSES.txt. If we ever ship a modified version of an LGPL component, the source for our modifications is available on request — email support@chordalia.com with the version of Arion you are using and the component name. We will provide the source within 30 days, at no charge beyond reasonable costs of physical media if applicable. - The reverse-engineering restriction in Section 3 does not apply to LGPL components, where reverse engineering is expressly permitted by the LGPL for the purpose of debugging modifications to those components.
7. Privacy and data handling
Arion does not transmit your indexed content, search queries, or any usage telemetry to Chordalia. By default, all indexing, searching, and answering happens on the hardware where Arion is installed. Where Arion integrates with third-party services configured by you (e.g. Microsoft Azure for cloud AI search, Dropbox or OneDrive for cloud sources), your data flows directly between your machine and that service under your own credentials and that service's own terms — never via Chordalia.

8. Disclaimer of warranty
THE SOFTWARE IS PROVIDED “AS IS”, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. CHORDALIA DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT IT WILL MEET YOUR REQUIREMENTS.
You are responsible for backing up the data you index with the Software. While Arion is designed to be non-destructive (it does not modify the documents it indexes), you accept that no software can guarantee perfect data integrity, and you should maintain independent backups of any irreplaceable content.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CHORDALIA OR ITS LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR IN CONNECTION WITH THIS EULA OR YOUR USE OF THE SOFTWARE, EVEN IF CHORDALIA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Chordalia's total cumulative liability for any and all claims arising out of or related to this EULA or the Software shall not exceed the amount you paid for the Software in the twelve months preceding the event giving rise to the claim, or USD $100, whichever is greater.
Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages, so some of the above may not apply to you. Nothing in this EULA limits liability for fraud, willful misconduct, or any other liability that cannot be excluded under applicable law.
10. Term and termination
This EULA takes effect when you install or first use the Software and continues until terminated. The license granted in Section 2 continues for the duration appropriate to your edition (perpetual for Family within the licensed major version; for the subscription term for Archive subscriptions; perpetually within the licensed major version for Archive perpetual licenses).
We may terminate this EULA if you materially breach it, including by exceeding the licensed scope, sharing your license file outside the permitted scope, or continuing to use the Software after a refund has been issued. On termination, your license to use the Software ends and you must uninstall the Software. Sections 5, 8, 9, 11, and 12 survive termination.
11. Governing law and disputes
This EULA is governed by the laws of the State of Utah, United States, without regard to its conflict-of-law provisions. Any dispute arising from this EULA or your use of the Software shall be resolved in the state or federal courts located in Utah, and you and Chordalia consent to the personal jurisdiction of those courts.
Where mandatory consumer-protection law in your jurisdiction grants you the right to bring a dispute in your local courts or under your local law, those rights apply notwithstanding the preceding paragraph.
12. Miscellaneous
This EULA, together with the Refund Policy, Privacy Policy, Acceptable Use Policy, and any order-confirmation document delivered at purchase, is the entire agreement between you and Chordalia regarding the Software, and supersedes any prior understandings or agreements.
If any provision of this EULA is held to be unenforceable, the remaining provisions remain in full force. Our failure to enforce any right under this EULA does not waive that right.
We may update this EULA from time to time. Material changes affecting your existing license rights will not apply to your already-purchased license unless you accept the updated EULA in connection with a new purchase or upgrade. The current version is always available at www.chordalia.com/arion-eula.html and ships with each release of Arion.
